Terms & Conditions
2nd Nov 2026
1. Introduction
These Terms & Conditions ("Terms") govern your use of [www.oneeightkobo.com] (the "Website") and the services offered by One Eight Kōbō ("OEK", "we", "us", "our"), a brand and product design studio based in Mumbai, India. By using the Website or engaging our services, you agree to these Terms.
Where a signed proposal, statement of work ("SOW") or agreement exists between you and OEK, that document takes priority over these Terms if the two conflict.
2. Definitions
-
Client / you: any person or business that engages OEK for services
-
Services: work across strategy, identity, experience and technology, including branding, web design, UX/UI, digital design, motion graphics and product design
-
Deliverables: the final files and assets agreed in the proposal or SOW
-
Working files: drafts, concepts, unused options and source/design files created during the project
3. Use of the Website
You may use the Website for lawful purposes only. You agree not to:
-
Copy, reproduce or redistribute Website content without written permission
-
Attempt to hack, disrupt or gain unauthorised access to the Website
-
Use the Website to send spam or harmful content
4. Website content and intellectual property
All content on the Website, including text, graphics, logos, illustrations, photographs, case studies and code, belongs to OEK or is used with permission. Client work shown in our portfolio remains the property of the respective clients and is displayed for portfolio purposes only.
You may share links to our pages, but you may not use our content, name or logo for commercial purposes without written consent.
5. Proposals and project scope
-
Every project starts with a written proposal or SOW covering scope, deliverables, timeline and fees
-
Proposals are valid for 30 days from the date issued
-
Work outside the agreed scope is billed separately, at our hourly rate or a fresh quote, after your approval
6. Fees and payments
-
Fees follow a milestone-based schedule set out in the proposal (typically 50/50 or 40/30/30)
-
An advance payment is required before work begins; it is non-refundable once work has started
-
Invoices are payable within 7 days of issue, unless stated otherwise
-
All fees are exclusive of GST and other applicable taxes
-
We may pause work if payments are overdue; timelines will shift accordingly
-
Third-party costs (fonts, stock images, plugins, hosting, domains, printing) are billed to or paid directly by the client
7. Revisions and approvals
-
Each proposal states the number of revision rounds included
-
Extra revisions, or changes after a stage is approved, are billed separately
-
Written approval (including email or WhatsApp) of a stage is final; later changes to that stage count as new work
8. Timelines and client responsibilities
Timelines depend on timely feedback, content and approvals from you. You agree to:
-
Share accurate briefs, content, brand assets and access on time
-
Provide feedback within the agreed review windows
-
Make sure any materials you provide do not infringe anyone else's rights
If the project is on hold for more than 30 days due to client delays, we may close it and invoice for work completed. Restarting may need a revised timeline and quote.
9. Cancellation and termination
-
Either party may end a project with written notice
-
If the client cancels, all work completed up to that date is payable, and the advance is not refunded
-
We may end a project if payments remain overdue, or if these Terms are seriously breached
10. Ownership of work
-
Once full payment is received, ownership of the final approved Deliverables transfers to the client
-
Until full payment, all work remains the property of OEK
-
Working files, unused concepts and rejected options remain with OEK, unless agreed otherwise in writing
-
Third-party assets (fonts, stock, plugins) remain subject to their own licences
-
We may show completed work in our portfolio, website, social media and award entries, unless a signed NDA says otherwise
11. Confidentiality
Both parties agree to keep each other's confidential business information private and to use it only for the project. This does not cover information that is already public.
12. Disclaimers
-
The Website and its content are provided "as is", for general information only
-
We do not guarantee specific business results (sales, traffic, rankings or engagement) from our work
-
Once Deliverables are handed over, the client is responsible for their use, hosting, maintenance and legal compliance (including trademark registration)
13. Limitation of liability
To the extent allowed by law, OEK is not liable for any indirect, incidental or consequential loss, including loss of profit, data or business. Our total liability for any claim related to a project is limited to the fees paid to us for that project.
14. Indemnity
You agree to indemnify OEK against any claims, losses or costs arising from materials you provided, your use of the Deliverables, or your breach of these Terms.
15. Governing law and disputes
These Terms are governed by the laws of India. Both parties will first try to resolve any dispute through good-faith discussion. If unresolved within 30 days, the courts of Mumbai, Maharashtra will have exclusive jurisdiction.
16. Changes to these Terms
We may update these Terms from time to time. The latest version will always be on this page. Changes do not affect projects already under a signed proposal or SOW.
